adiCLUB Rules

1. Objective
1. Welcome to adiCLUB! The objective of these adiCLUB Rules (hereinafter referred to as the “Rules”) is to clearly define the terms and conditions when you sign up for adiCLUB member as well as the rights, obligations and responsibilities of both parties when you use the services provided by adidas Sports (China) Co., Ltd. (hereinafter referred to as the “adidas”).
Before you sign up to be an adiCLUB member, please read carefully these Rules and the terms, conditions and rules mentioned or referred herein, in particular those bold and underlined terms, which contain important information relating to your rights and obligations as well as limitations and exclusions which may apply to you. By signing on the Rules or clicking “agree” button for the Rules when signing up for adiCLUB membership, you are deemed to have fully read, understood and accepted these Rules from all aspects. If you do not agree with these Rules or any part thereof, please immediately stop signing up for adiCLUB membership.
2. Definition
2-1. “Membership Holders” or “Members” refer to any individual who signs up for adiCLUB membership, provides his/her personal information, completes the application process and accepts these Rules and subsequently becomes an registered adiCLUB member.
2-2. “Member Services” refer to the services provided by adidas to the members, including managing the members’ past transaction records and providing various products and shopping related information.
2-3. “Designated Websites” refer to adidas.com and adiclub.adidas.cn (including their websites and relevant mobile applications which can be accessible via computer terminal and/or mobile terminal) and other websites which are designated by adidas to provide Member Services together with adidas. Members can visit adidas.com or call adiCLUB customer service center (4008801515) for an official and up-to-date list of Designated Websites that offer the Member Services.
2-4. “Designated Stores” refer to own retail stores operated by adidas, franchise stores designated by adidas from time to time, and other stores designated by adidas to provide Member Services together with adidas. Members can visit adidas.com or call adiCLUB customer service center (4008801515) for an official and up-to-date list of Designated Stores that offer the Member Services.
2-5. “China” refers to the mainland of the People’s Republic of China, and for the purpose of providing Member Services, excludes Hong Kong, Macau and Taiwan.
3. Introduction of Member Services
3-1. You need to correctly complete the membership registration process as set out under these Rules before you can become a Member and enjoy Member Services provided by adidas.
3-2. After you become a Member, you can earn points when you shop at any of the Designated Stores after showing your mobile phone number, membership number and name, etc. Points earned by Bronze Members and above through shopping will be converted into ordinary coupons in accordance with applicable rules. You can enjoy cash discounts when using ordinary coupons to purchase products at the Designated Stores during the valid coupon term. To further enhance user experience, adidas would arrange a trial run and testing in relation to shopping points and ordinary coupons on the Designated Websites. During the period from August 14, 2017 to September 23, 2017 (“Website Membership Points Trial Run Period”), Members can use your registered mobile phone number to log onto the Designated Website to shop and gain points. Bronze Members and above can use valid ordinary coupons to purchase products on the Designated Websites during the period from August 14, 2017 to November 14, 2017 (“Website Ordinary Coupon Trial Run Period”). The points rules are not applicable to some of adidas products, and some of adidas products cannot be purchased using coupons (please refer to Clause 7 hereof, “Use and Limitations of Members’ Points and Coupons”, for more details).
4. Validity and Change of the Rules
4-1. These Rules shall apply to you when you fill out and submit membership application via the Designated Websites, official WeChat platform of adidas or the Designated Stores.
4-2. adidas may amend these Rules from time to time. If adidas amends the Rules, adidas will inform the Members in the form of announcement (or otherwise) via a) emails; b) letters; c) Designated Websites; or d) Designated Stores.
4-3. Any amendment to these Rules shall become effective 30 days after date of announcement (or such other effectiveness date as specified in the announcement). Please check these Rules regularly to keep yourself posted of relevant amendments in time. If you do not agree with any amendment, you shall cease to use the Member Services before the effectiveness of such amendment, and such amendment will not apply to you. If you continue to use the Member Services after the effectiveness of the amendment, you will be deemed to have fully accepted such amendment.
4-4. If you sign up as a Member or use Member Services via any of the Designated Websites, you agree to abide by all relevant terms, conditions and rules of such Designated Website, in addition to the Rules.
5. Member Registration
5-1. To sign up as a Member, you should submit membership application via Designated Websites, adidas official WeChat platform or Designated Stores. After the submission of the membership application, a New Members shall verify his/her mobile phone number and confirm all necessary personal information on the Designated Websites before he/she can enjoy the membership privileges.
5-2. Membership shall not be transferred at any time and shall not be used for other purposes, such as mortgages. Members shall be fully liable for the consequences for violation of this clause.
6. Membership Qualifications and Restrictions
6-1. Membership is permanently valid unless Member requests withdrawal and submits application for withdrawal. Different levels of Members enjoy different membership privileges during the relevant valid period of memberships.

• Membership Levels:

Standard Member: You can become a Standard Member by registering via the Designated Websites, adidas official WeChat platform or Designated Stores, filling in personal information, reading and accepting these Rules.
Bronze Member: You can become a Bronze Member by purchasing products via Designated Websites, adidas official WeChat platform or Designated Stores with actual lump-sum payment of RMB1,000 or above (without returning products), filing in and submitting membership application form, reading and accepting these Rules. Standard Member can be automatically upgraded to Bronze Member when his/her accumulative spending on Designated Websites or at Designated Stores reaches RMB1,000 (without returning products) within a period of 12 months.
Silver Member: You can become a Silver Member by purchasing products via Designated Websites, adidas official WeChat platform or Designated Stores with actual lump-sum payment of RMB4,000 or above (without returning products), filing in and submitting membership application form, reading and accepting these Rules. Standard Member/Bronze Member can be automatically upgraded to Silver Member when his/her accumulative spending on Designated Websites or at Designated Stores reaches RMB 4,000 (without returning products) within a period of 12 months.
Gold Member: You can become a Gold Member by purchasing products via Designated Stores, adidas official WeChat platform or Designated Stores with actual lump-sum payment of RMB8,000 or above (without returning products), filing in and submitting membership application form, reading and accepting the Rules. Standard Member/Bronze Member/Silver Member can be automatically upgraded to Gold Member when his/her accumulative spending on Designated Websites or at Designated Stores reaches RMB 8,000 (without returning products) within a period of 12 months.

• Valid Period for Different Memberships:

The valid period for membership of Bronze/Silver/Gold Members is 12 months. Membership period of newly enrolled Bronze/Silver/God Members starts from the month of enrollment and expires by the last day of the 12th month; the membership period of the upgraded Members starts from the upgrading date and expires by the last day of the 12th month.
Membership period of Standard Members has no expiry date.
• Renewal and Restrictions:
• Bronze Members: membership will be renewed if a Member’s actual spending on Designated Websites or at Designated Stores during the valid membership period in aggregate reaches RMB1,000 (without returning products). The renewal period will start from the renewal date till last day of the 12th month.
• Silver Members: membership will be renewed if a Member’s actual spending on Designated Websites or at Designated Stores during the valid membership period in aggregate reaches RMB4,000 (without returning products). The renewal period will start from the renewal date till last day of the 12th month. If the actual spending of a Silver Member on Designated Websites or at Designated Stores during the valid term of membership in aggregate reaches or exceeds RMB1,000 but falls short of RMB4,000, the Silver Member will be automatically degraded to Bronze Member.
• Gold Members: membership will be renewed if a Member’s actual spending on Designated Websites or at Designated Stores during the valid membership period in aggregate reaches RMB8,000 (without returning products). The renewal period will start from the renewal date till last day of the 12th month. If the actual spending of a Gold Member on Designated Websites or at Designated Stores during the valid term of membership in aggregate (a) reaches or exceeds RMB4,000 but falls short of RMB8,000, the Gold Member will be automatically degraded to Silver Member; or (b) reaches or exceeds RMB1,000 but falls short of RMB4,000, the Gold Member will be automatically degraded to Bronze Member.
• If a Bronze/Silver/Gold Member’s actual spending on Designated Websites or at Designated Stores during the valid membership period in aggregate does not reach RMB1,000, he/she will be automatically degraded to Standard Member.
7. Use and Restriction of Member Points & Coupons
7-1. Points
(1) The actual purchase amount using cash, bank card or online payment on the Designated Websites or in adiCLUB Stores will be 100% counted as points (RMB 1=1 point), e.g., if the actual payment of a Member is RMB 500, he/she will earn 500 points.
(2) Cash discounts or coupons will not add to the points.
(3) Members can also gain points by submitting product reviews on Designated Websites. Successfully submitting a product review on Designated Websites (without return of products) after receipt of the products, the Member will receive 50 points as a reward. This will only be rewarded on submission. Editing a review doesn't get any reward point. Each Member gets reward points no more than 10 times per month. From the 11th successful review, no extra points will be given as a reward.
(4) Members could check points in adiCLUB Stores or on Designated Websites or call the adiCLUB Call Center.
(5) No points will be calculated in these cases:

- Not purchased on Designated Websites or in adiCLUB Stores;

- Products explicitly excluded by adidas or delivery fee from shopping on Designated Websites or customization fee;

- GWP;

- Group purchase from adidas;

- Staff purchase;

- If members resell their products on Taobao or the other third-party sites for commercial purposes, the purchase amount cannot earn points.

(6) If the Member has dishonest purchase behavior, adidas has the right to cancel the transaction record, deduct or adjust the points, limit the accumulation and use of points.
(7) In the case of clause (6) above, if a dispute over "dishonest purchase" between a Member and Designated Websites or any adiCLUB Store arises, adidas shall deal with such dispute in accordance with T&C 18 to deal with the case.
(8) In the case of clause (7) above, if the Member has no objection within 30 days from the date of the notice, the Member shall be deemed as accepting the result.
(9) No points may be transferred to a third party.
(10) No points may be cashed out or refunded.
(11) Member points T&C may be amended by adidas from time to time. adidas should update the information through the adiCLUB Stores or Designated Websites to inform Members how to use points and how to earn points. If the amendment has significant negative impact on Members, adidas shall notify the Member 30 days in advance via adiCLUB Stores or Designated Websites or other channels.
7-2. Definition and Usage of Coupons
(1) Bronze Members and above are entitled to ordinary coupons. Ordinary coupons are automatically converted by system from points earned through shopping. When shopping on Designated Websites during the Website Membership Points Trial Run Period, on the 21st day after purchase is made, points earned through shopping will become convertible points (provided that no purchased products are returned); when shopping at Designated Stores, on the 8th day after shopping, points earned through shopping will become convertible points (provided that no purchased products are returned). Each time when Bronze Members and above accumulate 500 convertible points, the system will automatically convert such 500 convertible points into one ordinary coupon in the amount of RMB 50.
(2) Only Bronze/Silver/Gold Members are entitled to the membership privilege of converting points into ordinary coupons. Standard Members can only earn points, but the points will not be converted into ordinary coupons.
(3) When using ordinary coupons, you can enjoy discounts. You can use ordinary coupons within valid term thereof to purchase products other than those listed under clause (9) below (a) at Designated Stores at any time, or (b) on Designated Websites during the Website Ordinary Coupon Trial Run Period.
(4) When ordinary coupons are generated by system, the corresponding points will be deducted. Ordinary coupons can be used within 90 days after being generated. Upon expiry of coupon term, ordinary coupons cannot be used anymore. When using ordinary coupons at Designated Stores, you should show the correct mobile phone number and Member’s name; when using ordinary coupons on Designated Websites, you need to log into your personal account.
(5) When ordinary coupons are generated and deposited in a Member’s account, such information will be sent to the Member’s mobile phone in form of text message (SMS) or WeChat message. Members can also check the information via Designated Websites, Designated Stores and adiCLUB customer service center.
(6) In addition to ordinary coupons, adidas may distribute promotional coupons and other coupons to all or specific group of Members from time to time. Conditions for use of such coupons and valid term thereof will be notified to Members via Designated Websites, Designated Stores, text message (SMS), email or other means each time when such coupons are issued.
(7) When using coupons, if price(s) of purchased product(s) is/are lower than coupon value, the difference will not be refunded.
(8) Only Members can use coupons that are generated and distributed by presenting their membership certificate.
(9) Coupons may not be used under the following circumstances:

- Products on sale, shipping expense on Designated Websites, or charges for customization or personalization services;

- Products of limited edition as designated by adidas;

- Socks, hats and other accessories;

- Products purchased at a place or via a channel that is not a Designated Website or Designated Store, or purchased on Designated Websites outside of the Website Ordinary Coupon Trial Run Period;

- Products where there is a express notice that no coupon may be used in purchasing such products;

- Complimentary gifts or giveaways for promotion events;

- Products purchased via adidas group purchase channel;

- Purchases that fail to meet condition(s) of use as specified in coupons;

- Other circumstances that adidas has announced to the Members in advance.

(10) Members can return the purchased product in accordance with Return Policy announced by adidas based on official receipt for the returned product. If a product is returned, points earned from such purchased product will be canceled; in addition, if any coupon is used at the time of purchase, the used coupon will be returned to adidas rather than to Member’s account. If ordinary coupon converted from points is used for purchasing, ordinary coupon will be returned to Member’s account in the form of points after return of the relevant product. When a Member uses an ordinary coupon to purchase more than one products, the coupon discount amount will be allocated to each of the products in proportion to their respective sales prices at the time of purchase. If only part of the purchased products are returned, we will refund to the Member the amount equal to the sales price of the returned product(s) at the time of purchase minus the coupon discount amount allocated to such returned product(s). The coupon discount amount allocated to such returned product(s) will be converted to points and returned to the member’s account on a ratio of RMB1: 10 points (any discount amount less than RMB1 will not be converted into points nor be returned in any other form). If any other coupon is used, such coupon will not be returned in any form.
(11) If coupons expire without being used, points that have been deducted and converted into coupons will not be restored.
7-3. Points Correction
(1) Any error relating to accumulation of points can be corrected within 30 days. If a Member finds any error in the accumulation of points within 30 days after the points are earned or adjusted, and such error is caused by adidas, the Member can submit relevant formal documents to adidas and request for correction within aforesaid 30-day period. Upon receiving formal receipt or any other document recognized by adidas from the Member, adidas will make the correction within 60 days.
(2) adidas is in charge of management of points. Points once finally confirmed by adidas will be officially accepted. adidas has the right to deduct or adjust points under specific circumstances, and Members can raise dissent against adidas’ decision for any such deduction or adjustment within 30 days.
7-4. Time Limit of Points
Points will be valid for a term of 12 months from the date that the points are generated. After such 12 months’ period, if any points have not been used during such period, such points will expire and be automatically cancelled.
If any points are canceled in accordance with these Rules, then the points left after deduction will naturally be counted as the final points.
8. Membership terminated
8-1. adidas has the right to notify any Member to terminate its membership upon occurrence of any of the following events; provided that adidas has the right to immediately terminate the membership without any notice upon occurrence of event as set out in sub-clause (3) below.
(1) Information relating to membership application is found to be inaccurate.
(2) The Member accumulates and uses points in a wrongful way, or uses Member Services for any purpose other than those set out under these Rules.
(3) The Member is dead.
(4) The Member disrupts activities of other Members, or uses the personal information of other Members thereby causing harms to such other Members, or conducts any other acts which infringe legitimate rights and interests of other persons.
(5) The Member violates terms and conditions of these Rules, or disrupts pubic order or impairs public morals.
(6) If the Member resells purchased products via Taobao and any other third-party websites or other sales channels, adidas reserves its right to terminate the membership of such Member.
8-2. Any Member may terminate his/her membership via Designated Websites or adiCLUB customer service center at any time upon confirmation of his/her identity, and adidas will proceed the termination procedure within 24 hours thereafter.
8-3. Once membership is terminated, all points, coupons as well as other rights and privileges pertaining to such membership will immediately expire and be nullified, and aforesaid rights and privileges will not be restored if you reapply for membership.
9. Privacy Terms
9-1. adidas uses information shared by you to enhance our services and your experiences with us. adidas respects privacy of Members. Please refer to our Privacy Statement as to how the Designated Websites and Designated Stores operated by adidas collect, use and protect your personal information. The Privacy Statement constitutes an integral part of these Rules. Before you become a Member or use any Member Services, please do carefully read the Privacy Statement.If you use the Designated Websites or Member Services, you are deemed to have agreed to the use and protection of your personal information by adidas in accordance with the “Privacy Statement.
9-2. With respect to the collection, use and protection of your personal information by any Designated Stores or Designated Websites operated by our customers or any other authorized third parties, please refer to relevant privacy policies published by them. Before you become a Member or use Member Services, please do ask for and read the relevant privacy policies. Regardless of anything to the contrary under such privacy policies, if you sign up for membership or enjoy Member Services through any of the Designated Stores or Designated Websites operated by customers or any other authorized third parties, you are deemed to have agreed for such customers and authorized third parties to share with adidas all of your personal information and other information collected from you. adidas will use and protect the relevant information about you that is shared by customers and authorized third party with adidas in a similar manner as that provided under the Privacy Statement.
9-3. If you do not agree with this Clause 9 or any terms, conditions and rules (including but not limited to Privacy Statement ) referred to under this Clause 9 (or any part thereof), please immediately cease using the Member Services.
10.Damages; Limitation of Liability
10-1. You agree to indemnify, defend and hold adidas, its group companies, and their officers, directors, employees, agents, licensees and suppliers harmless from and against any claims, losses, liabilities, expenses or damages resulting from or in connection with your behaviors, your breach of these Rules, your illegal acts or your infringement of any third party’s rights.
10-2. Unless otherwise explicitly provided under law, adidas shall not be liable for any indirect, incidental, special, punitive, penalized or consequential damages in whatever form (no matter how the damages may occur, and whether arising out of infringement, breach of contract or otherwise). To the maximum extent permitted by Chinese law, adidas makes no and disclaims all kinds of warranties, no matter in what form, except for any warranty applicable to consumers that cannot be duly excluded. Unless otherwise explicitly provided under law, adidas shall not be liable for any damages or losses to Members unless there is conclusive evidence providing that the damages or losses arise from intentional misconduct or gross negligence of adidas.

12. Governing Law; Jurisdiction
12-1. Any dispute arising out of these Rules, the interpretation of these Rules and other matters that are not specified under these Rules shall be governed by the applicable laws of China. If there is no pertaining provision under the applicable law, such dispute shall be solved with reference to commercial or industrial practices.
12-2. Any dispute or controversy arising out of or in connection with these Rules shall be settled by amicable and faithful negotiation between you and adidas to the extent possible. If no settlement is reached through negotiation, any such dispute or controversy shall be submitted to the Chinese court with competent jurisdiction at the location where adidas is registered.
12-3. If any of provisions under these Rules is invalid, it shall not affect the validity of rest of the provisions. If any provision of these Rules is deemed as illegal, invalid or unenforceable, such provision shall be deemed as severed from these Rules, and the validity and enforceability of the remaining provisions of these Rules shall not be affected in any way.
